Adobe has agreed to acquire Semrush in an all-cash transaction valued at about $1.9 billion, adding a leading brand visibility platform to its AI-driven marketing ecosystem. The deal, approved by both companies’ boards, will bring Semrush’s generative engine optimization and search engine optimization capabilities into Adobe’s broader suite of digital experience products. Semrush offers tools that help organizations maintain visibility across traditional search and emerging AI-powered interfaces, addressing rising demand as consumers increasingly rely on large language models for recommendations and information.

Adobe plans to integrate these capabilities with products such as AEM, Adobe Analytics and Adobe Brand Concierge. The combination aims to give marketers a unified view of how their brands appear across owned channels, search engines, LLMs and the wider web. Semrush has seen steady enterprise adoption, reporting double-digit growth in recurring revenue and serving customers including Amazon, JPMorganChase and TikTok.

The transaction is expected to close in the first half of 2026, subject to regulatory approvals and a shareholder vote. Commitments from Semrush founders and major investors representing over 75 percent of voting power support the deal.
