OpenAI Completes Recapitalization, Launches $25B Foundation for Global AI Impact

OpenAI has completed its corporate recapitalization, simplifying its structure while reaffirming its nonprofit mission to ensure that artificial general intelligence benefits all of humanity. The newly formed OpenAI Foundation now controls the for-profit entity, OpenAI Group PBC, and holds equity currently valued at about $130 billion.

The Foundation will oversee a $25 billion commitment to two areas: accelerating health innovation – through open-source datasets and disease research – and strengthening AI resilience, a cybersecurity-like layer to protect critical systems as AI advances.

OpenAI said the recapitalization reinforces mission-focused governance while aligning commercial success with global benefit. The Foundation’s growing equity stake will fund future philanthropic initiatives, positioning it among the world’s best-resourced nonprofit organizations dedicated to safe, beneficial AI progress.
